鉴于:

 

1、甲方有权按照法律的规定,将位于北京市丰台区西三环_______——北京___________有限公司办公楼二层    房间及库房(   ㎡)出租给乙方使用,作为乙方经营办公场所。

2、乙方对所承租的房产手续已作了充分了解并以其自身名义签署并履行本合同。

根据《中华人民共和国合同法》、《城市房屋租赁管理办法》等有关法律、法规的规定,为明确甲、乙双方的权利、义务关系,经甲、乙双方友好协商一致,特订立本合同,以资共同信守。

 

1、租赁房屋

 

1.1甲方同意按照本合同的约定向乙方出租而乙方同意按照本合同的约定从甲方承租位于北京市丰台区西三环 ________-—北京________有限公司办公楼二层     房间及库房    ㎡(以下简称“租赁房屋”)。

1.2甲方向乙方提供

2、租赁期限

 

2.1 租赁房屋的租赁期限为     年,自

2.2 租赁期届满,甲方有权收回租赁房屋, 乙方应如期归还。乙方希望在租赁期满后续租,须在租赁期届满前三个月书面通知甲方。经双方达成协议,重新签订租赁合同,乙方依法享有优先承租权。如甲、乙双方未能在租赁期届满前三个月就续租租金与租赁期限达成一致协议,甲方可以不受乙方的任何制约而自行处置租赁房屋。

 

3、租金及相关费用的支付

3.2其它费用

(1)、乙方若需使用电话、传真、宽带、有线电视及其他甲方已预留接口之设施,有关接通或安装使用等费用由乙方自行承担。

(2)、租赁期内乙方若需租用停车泊位,则由乙方按照甲方管理有关规定办理。

(3)、租金中未含冬季取暖费,冬季取暖费由乙方按照供热机构之规定,缴纳给甲方。

(4)、租赁期内,乙方同意向甲方交付一切与租赁房屋有关其他费,包括水费、电费、卫生费。该等费用的标准按照收取该等费用的有关机构确定的标准执行。

3.3保险责任承担

所有权不属于乙方的房屋和设备、设施,其保险责任归所有权人。所有权属于乙方的设备、设施和经营责任,其保险责任归乙方。

 

4、房屋用途

 

4.1租赁房屋仅限作为乙方合法经营场所之用。乙方须严格遵守中国制定的有关租赁房屋及乙方在租赁房屋内进行其业务的政策和法规。除非事先得到甲方的书面同意,否则乙方不得擅自变更租赁房屋的用途。

4.2甲方有义务保证乙方在本合同存续期间,按本合同确定的使用用途,正常使用租赁房屋和相应设施。

4、3合同期间,经通知甲方,乙方有权在合法的前提下以其认为合适的规格、形式等悬挂(或不悬挂)其名称标牌、商标标志或服务标志。

 

5、租赁房屋的装修及维护

 

5.1租赁期内,租赁房屋的装修费由乙方自行承担。合同期内,乙方投资于租赁房屋或为使租赁房屋具备、维持正常使用功能及满足商业经营特殊需要而投入的装修、设备及其他附属物、附着物之所有权属于乙方。合同解除后,能移动并不破坏房屋外观及内部结构的部分由乙方拆起。

5.2乙方的装修方案应经过甲方书面同意后,方可按照有关规定实施。

5.3乙方对租赁房屋的任何改建均需得到甲方的书面许可。

5.4租赁期间内,甲方负责租赁房屋的定期检查和维修并承担费用,包括自然损坏造成的维修责任。

5.5甲方在暂停或不暂停租赁房屋内任何设施的使用的情况下进入租赁房屋进行维修,但应事先征得乙方同意。紧急情况下,甲方可在没有任何通知的情况下,为了保安、消防和抢修租赁房屋,甲方和其授权人有权不经乙方损失,否则甲方负责赔偿,法定紧急避险情况除外。

 

6、甲方的陈述与保证

 

6.1保证其作为本合同签约人依法成立、依法存续,具备签订本合同的主体资格。

6.2保证对本合同租赁房屋拥有合法的所有权和以出租方式进行处置的权利,不存在任何形式的权利瑕疵。

6.3保证租赁房屋具备出租的合法条件,并保证该合法条件在合同期内持续存在。

6.4根据乙方要求及时提供与本合同履行有关的资料和法律文件。

7.乙方的陈述与保证

7.1及时、足额地缴付本合同规定的租金及相关费用及其他一切费用。

7.2未经甲方同意,不得将租赁房屋内的设备进行改造、增设或拆除,改变房屋内结构不得改变租赁房屋的用途。

7.3保持租赁房屋内部清洁完好,乙方对所租房间的损害,以及对乙方或其客人造成的公用地段的损害,甲方修复时的费用由乙方如数缴付。

7.4在暴风大风等恶劣天气来临之前采取一切适当措施,保护租赁房屋的内部不受损害。

7.5如乙方不履行或违反本合同的任何条款、规定或条件,而使租赁房屋遭受损失,被罚款或造成甲方的其他支出,在甲方开出单据的五天内,乙方应如数补偿或赔偿甲方。

7.6不得在租赁房屋存放,也不允许他人存放武器、弹药、硝石、火药、火油或其他易爆易燃违法危险物品。

7.7不得在租赁房屋内进行,允许、默认任何可能对甲方造成损害的活动。

7.8不得在租赁房屋内进行或允许他人进行有悖社会或行业道德的活动。

7.9乙方在经营期间必须投保。

7.10未经甲方书面同意乙方不得转租。

 

8.合同终止与解除

 

8.1本合同于有效期满之日终止。

8.2依本合同规定或法定条件成就时,从合同终止或者解除之日起一周内,乙方应腾空房屋并完整的向甲方交回房屋租赁房屋的钥匙,如违此约定甲方有权处置房内任何物品。

8.3租赁期内,如因不可抗力(且不可抗力延续两个月),法律政策变化以及政府城市规划等原因致使合同无法履行,则本合同可以终止。但受上述事件影响的一方应当在上述事件发生之日起15日内通知另一方,甲、乙双方互不承担任何法律责任。

8.4因甲、乙双方任何一方违约而解除合同,如果违约方在收到守约方一书面纠正通知后15日内未进行任何补救措施或与守约方达成新的协商安排,则守约方可以随时向违约方发出解约的通知,解约通知自送达违约方之日起生效。守约方有权向违约方追讨由此引致的全部损失及开支。

 

9、通知与联络

 

9、1双方各指定本合同文首列明的联系人负责收发相关通知、就本合同履行相关事宜传递信息并进行必要的协调。

9.2如果本合同联络人发生变更,变更一方应及时将变更后的人员及联系方式书面通知对方。任何一方在未收到前述人员变更通知前按照原来的联络人及联系方式发出的相关通知均为有效通知。

9.3除本合同对有关通知事项已有约定外,任何一方发生法定代表人、名称、住所、企业组织形式等的变更,或发生合并、分立、并购、破产,或发生租赁房屋查封、扣押、监管、变卖、拍卖及其他可能影响本合同履行的任何事项,均应本着诚实信用的原则及时通知对方,履行法定通知义务。

 

10.征用及不可抗力

 

10.1由于政府征用土地因素导致本合同被迫终止时,本合同则自政府征用之日起终止执行,但乙方应支付自起租日始至政府征用日止的租金及相关费用。若部分所租赁房屋被政府租用,则甲、乙双方均有权在一个月内以书面形式通知对方取消或终止本合同。

10.2不可抗力是指严重自然灾害及其他本合同双方在订立本合同时人力不能预见,其发生或后果不能避免且不能克服的事件。在本合同履行过程中,由于发生战争、洪水、台风、地震或其他人力不能控制等不可抗力事件,致使任何一方无法履约后发生不可抗力的,迟延履约一方不能免除责任。遭受不可抗力一方在不可抗力事件发生后的15天内,应向另一方出具经不可抗力发生地公证机构公证的有关权威部门的证明。不可抗力事件消除后,由双方协商确定是否恢复对本合同的继续履行。发生不可抗力,对于事故前双方发生的经济上的义务不受影响。

 

11.违约责任

 

11.1甲、乙双方任何一方有违反本合同的行为,应就违约行为给对方造成的进行承担赔偿责任。如属双方的过失,应根据情况,由甲、乙双方分别承担违约责任。

11.2如乙方未能按本合同规定支付租金乙方责任如下:

(1)从违约之日起,房租加价10%,直至乙方搬出日为止。

(2)从违约之日起,甲方可以单方解除本合同或变更本合同。

 

12.争议的解决

 

12.1本合同之订立、效力、解释、履行及争议的解决均适用中华人民共和国法律。如甲、乙双方中任何一方有违约行为,另一方可以书面形式通知其纠正,并进行友好协商,解决违约问题。

12.2协商不成的,任何一方有权向租赁房屋所在地有管辖权的中国人民法院提起诉讼。

 

13.附则:

 

13.1合同有效期限内,如任何一方由于改制、合并、分立等发生变更,则由变更后的主体承继该方在本合同项下之各项权利义务。

13.2本合同的任何修改均应经双方同意,并制作书面协议经甲方和乙方双方法定代表人或授权的委托代理人签字并加盖公章后方为有效。

13.3本合同未尽事宜,甲、乙双方可签订补充协议,补充协议与本合同具有同等法律效力。如该等补充协议与本合同有不一致之处,以该等补充协议有关规定为准。

13.4任何一方对另一方违反合同的态度或疏忽都不应视为其放弃权利。任何一方放弃本合同各项条款规定的任何权利,只能以该方书面签字为准。

13.5本合同及附件正本一式     份,甲、乙双方各持有     份,具有同等法律效力。

13.6本合同经甲、乙双方法定代表人或其授权的委托代理人签字并加盖公章后生效。

13.7在签署本合同前,甲、乙双方须持有中国政府签署的营业执照或具有法律效力证明文件的复印件作为本合同的附件。

13.8本合同附件为本合同不可分割的组成部分,与本合同具有同等的法律效力。本合同附件的明细表:

whereas:

 

1. Pursuant to provisions of laws, Party A is entitled to lease the premises located at _______South Road West Third Ring, Fengtai District, Beijing----     rooms of second floor of Party A’s office building  and a warehouse(    ㎡) to Party B for the purpose of its business.

2. It is understood that Party B completely acknowledge the lease procedure and enter into the agreement by itself and fulfill it.

 

Pursuant to Contract Law of PRC, Administrative Measures for Municipality on House Tenancy and provisions of relevant laws and regulations, after friendly negotiation between Party A and Party B, both parties have reached agreement in order to clarify the rights and obligations of both parties and fulfill it on good faith.

 

1. Premises

 

1.1 Party A agrees to lease and Party B agree to rent pursuant to terms and conditions under this agreement, ----     rooms of second floor of Party A’s office building  and a warehouse(500㎡) located at _____South Road West Third Ring, Fengtai District, Beijing (hereinafter refer to as “premises”).

1.2 Party A shall provide Party B                                         

                                   for the sake of connivance.                                   

 

2. Lease terms

 

2.1 the terms of this agreement shall be 3 (i.e.:    ) years, commencing on           and ending on           (including the first date and the last date).

2.2 After the expiration of the lease agreement, Party A is entitled to withdraw the premises and the party B shall return it on schedule.  In the case that party B is willing to renew this agreement, Party A shall be informed 3 months in advance from the date of the termination of this agreement. Party B shall have the legal preemptive right to lease upon the both parties’ agreement. In the event that both parties fail to reach agreement in terms of rental and terms for the renewable agreement within 3 months from the date of the termination of the agreement, Party A may dispose of the premises on his own discretion.

 

3 rental and payment of other expenses

3.Rental fees: yearly rental shall be CNY     (i.e.:    ). The rental shall be paid within    working days upon the due date of payment. 3.2 other expenses

(1)where Party B need to use the telephone, fax, broad band, Community Antenna Television and facilities with reserved interface by party A,  party B shall bear any expenses arising form installment and operation of foregoing facilities.

(2)During the terms of the agreement, where party B need to rent parking areas, party B shall follow the Regulation on the Administration issued by Party B.

(3) The rental does not include the heating fee in the heating season. Party B shall pay the party A the heating fee in accordance with the regulation made by heating supply enterprises.

(4) during the terms of the agreement, Party B agrees to pay all bills which are relevant to the premises such as water, electricity and sanitation fee to Party A in accordance with the standard prescribed by relevant authorities. 

3.3 insurance liabilities

Owner of the premises, equipments, and facilities not belonging to party B shall bear the insurance liabilities for the forgoing assets. Party B shall undertake the insurance liabilities for its own equipments, facilities and operation.

 

4 purpose of the use of the premises

 

4.1 the premises shall be only used as the legal business place of Party B. party B shall strictly comply with Chinese polices and regulations which govern the rented houses and undertaking activities in the houses. Unless obtaining the party B’s acknowledgement in writing, party B shall not change the purpose of the use of the premises without authorization. 

4.2 Party A shall be responsible to guarantee that party B utilizes the premises and relevant facilities in accordance with the purpose set out in the agreement during the terms of the agreement. 

4、3 Party B shall be entitled to legally hang (or not to hang) Party B’s name, sign of its trademark or service marks with the size and format decided by its own during the terms of the agreement by sending Party B a notice.

 

5 decoration and repair of the premises

 

5.1 party B shall be responsible for the costs and expenses of the decoration during the lease terms. The ownership of decoration, facilities, other annexes and fixed objects invested by Party B in the premises in order to carry on meet its specific business belong to Party B. After the termination of the agreement, Party B may remove the parts which are removable and of whose the backout is harmless to the appearance and main structure of the house.

5.2 the decoration design to be carried out by Party B shall be approved by Party A in writing.

5.3 any rebuild of the rent house to be carried out by Party B shall be approved by Party A in writing.

5.4 Party A shall be responsible for the regular examination and maintenances of the premises and bear the expenses and costs incurred from them including the expenses of the repair of losses in the normal process of utilization.

5.5 Party A shall first obtain the permission of Party B in order to enter into the rented premises for repair, regardless the conditions of facilities of the premises. However, in emergency, party A shall have rights to enter into the premises without any notices to party B for the sake of safety, fire control and urgent repair of premises. Otherwise, party A shall be responsible to compensate party B’s losses, unless emergency actions taken to avoid danger is involved.

 

6. Presentation and guarantee of Party A

 

6.1 Party A guarantees that it was duly incorporated under the laws and legally exists and possesses full power and authority to enter the agreement.

6.2  Party A guarantees that it has the legal ownership of the rented premises and possesses the rights to lease it without any flaws in rights.

6.3  party A guarantees that all legal requirements in connection with the rented premises are satisfied and still remain during the terms of the agreement.

6.4  Party A may provide relevant information and legal documents in connection with the fulfillment of the agreement upon the request of Party B.

 

7.Presentation and guarantee of Party B

 

7.1 Party B shall fully pay the rental and any relevant fees set out in this agreement in due time.

7.2 Party B shall not change and install or remove facilities in the rented premises and shall not change the indoor structure and the purpose of the use of the premises.

7.3 Party B shall keep the premises clean and be responsible for the damages which are caused by Party B and damages of public areas caused by Party B and/ or Party B’s clients. Party B shall bear the repair fees for the repair engaged by Party A.

7.4 Party B shall assure to take suitable methods to protect the indoor of the premises from damage before bad weather such as windstorm and gale.

7.5 In the case that Party B refuses to fulfill or breach any terms or conditions under this agreement and that Party B’s behavior causes damage to the premises or fine, Party B shall compensate party B’s losses. 

7.6 Party B shall not deposit and/or allow third parties to deposit weapons, ammunition, saltpeter, powder, kerosene or any other flammable and explosive articles in the premises.  

7.7 Party B shall not carry out and/or allow and tolerate any activities which probably cause damage to Party A in the premises.

7.8 Party B shall not carry out by itself and/or allow others to carry out activities which violate the social morality and trade ethic.

7.9 Party must purchase the insurance during the terms of its operation.

7.10 without the written approval of Party A, Party B shall not sublease the premises to any thirty parties.

 

8.Dissolution or termination of this agreement

 

8.1the agreement shall be terminated at the date of the expiration of the agreement.

8.2 in accordance with provisions of the agreement or conditions set out by law, Party B shall empty out the premises deliver it to Party A , and return all the keys of the premises within one week from the date of the dissolution or termination of this agreement. In the case that party B violates the foregoing rule, Party shall have the rights to dispose any items left in premises.

8.3 the agreement may be terminated due to force majeure (which continues for a consecutive period of 2 months) , changes of legal polices and town planning and etc. however, where the Party who is affected by the foregoing events shall give the other party a notice within 15 days from the occurrence of such events, both parties are free from any legal responsibilities.

8.4 either party shall have the right to terminate with immediate effect at any time by giving termination notice thereof to the other party if such default is not cured within 15 days following the serving of the notice by the party honoring the contract or no agreement is reached between defaulting party and the party honoring the contract. the defaulting party the agreement due to the breach of the agreement. The party honoring the contract has rights to claim losses and costs arising from contractual breach to the defaulting party.

 

9. Notice

 

9、1 both parties shall assign contact persons set out at the beginning of this agreement who are in charge of the serve and receipt of notice, communication in connection with the fulfillment of the agreement and engagement of necessary coordination.

9.2 in the case that any change of the contact persons is occurred, the party who makes the change shall serve notice of new contact to the other party.  Any notice delivered to the original contact persons shall be deem valid before the receipt of the notice of change contact. 

9.3 In the case that either party  changes the legal representative, name, domicile, and the status of company, or becomes subject to the merger, dissolution, bankruptcy, or that  the premises are subject to seize detain, auction and sale or etc, unless it is otherwise prescribed by the agreement,  a notice shall be promptly served to the other party  in good faith. 

 

10.Confiscation and Force Majeure

 

10.1 the termination of the agreement is subject to the expropriation of land, the agreement shall be terminated as of the date of the expropriation. However, Party B is responsible to pay the rental from the first date of the terms of the agreement to the date of the expropriation. Where the part of premises is expropriated by government, either party shall have respective rights to terminate the agreement within one month by sending Witten notice to the other party.

10.2 Force Majeure means occurrence of serious natural disasters and any events which are inevitable and unconquerable and are beyond reasonable control of the party. During the terms of the agreement, any parties are not able to perform the agreement due to war, flood, typhoon, earthquake and other Force Majeure events that are beyond reasonable control of human.

 

11.Default liabilities

 

11.1 either defaulting party shall compensate the other party’s losses incurred by the breach.  In the case of the breach arising from both parties, both parties shall bear respective responsibilities.  

11.2 in the case that party B does not pay the rental in accordance with terms set out under the agreement:

(1)Party B shall pay additional 10% of the rental from the date of the occurrence of the breach to the date of the leaving.

(2)party B shall be entitled to unilaterally terminate or amend this contract at its discretion from the date of the occurrence of the breach.

 

12.Disputes resolution

 

12.1 the execution, effectiveness, interpretation, performance and disputes resolution shall be governed by the relevant Chinese laws. In the case that there is a breach, either party may require the defaulting party to cure the defaults and carry out friendly consultation in order to settle down the breach.

12.2 If parties fail to reach an agreement, any disputes shall be submitted to the people’s court with jurisdiction of the place where the premises is located in by either party.

 

13.Miscellaneous

 

13.1 During the terms of the agreement, in the case that either party becomes reorganization, merger, and other changes, changed party shall inherit all rights and responsibilities under this agreement from the original body.  

13.2 any amendment to this agreement shall be made in writing upon the agreement of the both parties’ legal representatives or authorized representatives and become effect with the chop.

13.3 any matters not covered in this agreement shall be further agreed in writing in a supplementary agreement both parties. In case of discrepancy arising from articles of this agreement and the supplementary agreement, the supplementary agreement shall prevail.

13.4 attitude or negligence of any parties toward the breach shall not be deemed as a waiver. A waiver made by any parties in connection with any rights set forth under the agreement shall only be deems as valid upon the written signature of any parties.

13.5 the agreement is executed in    copies. Each party shall keep    copies which shall have the same legal effect.

13.6 this agreement shall come into effect upon execution and sealing by legal representatives of both parties or authorized representatives.

13.7 either party shall provide the photocopy of its business license issued by PRC government or certification documents with legal effects as the appendix before the execution of the agreement.

13.8 The Annexes to this agreement shall constitute an integrity part of this agreement and have the same effect with this agreement. The list of appendixes is specified as follows:
