  “超级震撼”的卡莱尔名单

  卡莱尔其实是一家投资公司,总部设在美国华盛顿,而不是纽约。它位于华盛顿特区的宾夕法尼亚大街,处在美国白宫和国会大厦的中间地带,与联邦调查局和许多美国部级总部为邻。

  首先出现在卡莱尔名单中的是美国前总统乔治·布什,现任美国总统的父亲。他现在在卡莱尔中的身份是卡莱尔亚洲顾问委员会主席。

  接下来的名单同样令人窒息:

  美国前国防部长(里根时期)弗兰克·卡路西,卡莱尔集团董事局主席;
  前总统政策顾问(卡特时期)大卫·鲁宾斯坦因,卡莱尔创始人;
  前国务卿詹姆士·贝克,卡莱尔高级顾问、大股东之一;
  前白宫预算主任迪克·达尔曼,顾问;

  卡莱尔成立了欧洲、亚洲和日本的顾问委员会。在委员会的名单中,商界的领袖人物更是一长串,如雀巢、罗氏、宝马、东芝、富士通、波音、三和银行等的前任或现任的CEO级人物。

  现在在美国,卡莱尔已经有了一个贴切的绰号———“总统俱乐部”。而这么多“总统级”的人物,又是如何串在一起的呢?

  投资秘笈:雇佣前政要

  卡莱尔集团成立于1987年,是由鲁宾斯坦因和两名律师联合创办的投资机构,向富人和法人投资机构筹集资金并成立私人投资基金,通过购并和出售全球各地的私营和国有企业来达到赢利。

在过去短短的5年中,卡莱尔集团从投资者手中筹集了140亿美元,创造了巨额利润。剔除股东分掉的20%利润,该公司带给投资者的年平均回报率依然高达36%。目前它在全球的投资额高达125亿美元,已经在233个项目中投资了64亿美元。连美国最大的机构加州公务员退休基金也被它吸引,今年2月在卡莱尔中投资占有5%。

  当初卡莱尔集团真正的开始起飞,是由于1989年美国前国防部长弗兰克·卡路西的加盟。

  美国《财富》杂志报道,1990年,已经加入卡莱尔的卡路西察觉到美国国防工业每年150亿预算是一个很大的“蛋糕”,于是促成了卡莱尔在国防工业中的一项重大投资。

  于是,卡莱尔的创始人开始意识到雇佣前政要的好处,随后便如法炮制,先后雇佣了前国务卿、白宫预算主任等等。

  于是,这便成了卡莱尔以后的投资策略,即主要投资于各国政府创办的、具有某种政策优势的企业和产业,如国防产品承包商。或者是那些受政府影响很大的公司,如电信公司。然后雇佣与之相关的政府要员,还有金融行业、航空业。

  无疑,这些行业中,那些前政要起着重要的作用。但是,卡莱尔现在却尽力回避这些顾问的重要性。

  创始人鲁宾斯坦因对美国媒体的批评加以反驳,他说,投资人看好卡莱尔不是因为前政府高官的存在,而是因为操作绩效佳。

  卡莱尔亚洲区的总经理考尔比也不认为布什、贝克等顾问能起到很大作用。他说,“他们的确是打开了大门,但我们还是得呕心沥血地工作以使投资得到回报。”卡莱尔的人士认为,布什的作用只是在吸引投资者的大会上演讲。

  但投资商却认为,老布什的大名极有分量,他是前美国总统、前美国中情局局长和前美国驻联合国大使。他代表卡莱尔环游世界时,毫无疑问会给卡莱尔带来不少益处。有投资商认为,布什过去20年里建立的庞大关系网,保障了卡莱尔的交易都有利可图。

  老布什助卡莱尔瞄准亚洲

  在亚洲,老布什的作用的确明显。在布什访问汉城并同金大中政府的高级官员会晤后,卡莱尔立即就收购了韩美银行。

  在整个亚洲,尤其是东亚,卡莱尔1999年后开始大举扩张。当时,在很多东亚国家遭遇经济危机,卡莱尔觉得时机来了。

  就在那一年,卡莱尔在曼谷召开了首次亚洲顾问委员会会议,老布什主持。自此以后,卡莱尔在韩国和台湾成为最大的外商投资者之一,在日本也成为从事合并及收购事务的著名大公司。

卡莱尔先后动用7.5亿美元的亚洲基金收购了4家公司,分别是:2000年以1.45亿美元获得韩国最大的私人银行之一———韩美银行的控股权;投资1.87亿美元于台湾第四大有线电视公司———台湾宽频;投资4900万美元收购从倒闭的大宇公司中剥离出来的水星通讯;然后就是去年5月以4300万美元的代价入股太平洋百货。

  卡莱尔野心勃勃,又设立了22亿美元风险基金专用于收购日本的公司和银行。

  2002年1月,首个计划是收购已倒闭的日本最大零售商大荣百货旗下的朝日证券公司90%股份,收购价2700万美元。

2002年2月底,卡莱尔集团又以7700万美元的价格收购了大荣集团又一家子公司A.S.S.95%的股份。这家子公司提供电子安全和现金管理外包服务。卡莱尔的策略就是从亚洲这些扩张失败的大集团中,收购其中盈利的企业,尽管母公司存在问题,但依然有盈利的业务。

  卡莱尔还打算收购韩国的锦湖轮胎(世界第十大轮胎制造商),据报道,卡莱尔和JP摩根愿意出价12亿美元。

  卡莱尔总是和那些面临困境的亚洲大企业集团合作。

  于是,在台湾它发现了资金周转不灵的太平洋建设集团。由于投资有线网络,太平洋建设集团陷入了资金泥潭,卡莱尔开始向它发出邀约。

  现在,卡莱尔不仅和太平洋建设集团在台湾有线电视上全面合作,最重要的一笔就是,它把该集团发展最快、也是最赚钱的内地的太平洋百货硬生生切下了一大块。太平洋建设集团急需要钱来周转。

  也许这叫“趁火打劫”,但是,投资者从来不是慈善家。而依靠政要来投资的卡莱尔更不是。(转自《经济观察报》)
